      General Terms and Conditions of Sale for IMAVOV Sécurité

      1. Preamble: Company Overview

      IMAVOV Sécurité SASU is a company specializing in private security services. It provides clients with a range of solutions to ensure the security of property and individuals, including human surveillance, remote monitoring, security patrols, guarding, access control, alarm response, and event security. IMAVOV Sécurité is committed to delivering high-quality services that comply with current legal and regulatory requirements, utilizing trained teams and appropriate equipment.

      2. Purpose of the General Terms and Conditions of Sale (GTCS)

      These General Terms and Conditions of Sale define the terms and conditions under which IMAVOV Sécurité provides its private security services to clients. They detail the services offered by IMAVOV Sécurité and govern the contractual relationship between the company and the client to ensure optimal service execution.

      These terms apply to all the following services:

      2.1 Human Surveillance

      IMAVOV Sécurité provides trained and qualified security agents to ensure the physical surveillance of sites, property, and individuals. This service includes access management, regular security patrols, and the prevention of risks related to malicious acts and emergency situations.

      2.2 Remote Monitoring

      The company offers 24/7 remote monitoring services, allowing real-time oversight of video surveillance systems and alarms at monitored sites. In case of incident detection, an immediate response is coordinated to ensure a quick and appropriate reaction in collaboration with law enforcement or intervention teams.

      2.3 Security Patrols

      Security patrols are carried out by trained agents who inspect sites at regular or random intervals. These patrols include checking alarms, access points, and sensitive installations. They help prevent intrusions, vandalism, and other security risks.

      2.4 Guarding

      Guarding involves the presence of security agents on-site to protect property and individuals from risks. This service is tailored to specific sites such as businesses, shops, warehouses, or events requiring heightened security. Guarding agents act to prevent malicious acts, respond to incidents, and maintain a deterrent presence.

      2.5 Access Control

      Access control is a service for managing and securing the entry of individuals into sensitive locations. This includes identity verification, use of badges, biometric readers or access codes, and logging entries and exits to ensure only authorized individuals enter secured areas.

      2.6 Alarm Response

      In case of alarm activation (e.g., intrusion, fire, technical issue), IMAVOV Sécurité responds promptly to assess the situation and take necessary measures. Agents are dispatched to the site to verify the incident, secure the perimeter, and coordinate actions with competent authorities (firefighters, police, etc.) if needed.

      2.7 Event Security

      Event security ensures the safety of participants, staff, and property during various events (concerts, conferences, sports events, trade shows, etc.). This service includes crowd management, access control, risk prevention, and implementing specific measures to ensure optimal safety throughout the event. Security agents are present to respond quickly to incidents and ensure the security of the venue.

      3. Description of Services

      Services Offered:

      IMAVOV Sécurité provides private security services tailored to the specific needs of each client. The services include:

      3.1 Human Surveillance

      IMAVOV Sécurité offers the deployment of qualified security agents to ensure the physical surveillance of your sites. The services include:

      • Access Controls: Verification of identities, management of badges, and monitoring of individuals’ entries and exits.
      • Security Patrols: Active site surveillance at defined times and frequencies to prevent theft, intrusion, or incidents.
      • Risk Prevention: Monitoring of sensitive areas to identify any situation that may jeopardize the safety of property or individuals.

      The agents assigned to human surveillance are trained to meet current standards and act in compliance with security protocols defined with the client.

      3.2 Remote Monitoring

      Remote monitoring involves the management of security systems, such as video surveillance cameras, alarms, or other detection devices. The remote monitoring services include:

      • Remote Video Monitoring: Footage captured by cameras is sent to the Security Control Center, where qualified operators analyze alerts in real time.
      • Alarm Management: Detection of intrusions, fires, or other incidents through connected sensors and alarms. Upon activation, operators take immediate measures, such as alerting law enforcement or dispatching an intervention team.
      • Real-Time Response: Quick intervention based on information received by operators, ensuring constant and reactive coverage.
      3.3 Security Patrols

      Security patrols consist of regular rounds carried out by security agents in premises, warehouses, or outdoor sites. This service includes:

      • Regular or Random Patrols: To prevent acts of vandalism, theft, or other malicious activities.
      • Inspection of Sensitive Areas: Verification of alarms, emergency exits, access points, and security equipment (e.g., fire extinguishers, video surveillance systems).
      • Patrol Reports: Agents produce detailed reports summarizing relevant observations, incidents, or anomalies encountered during their rounds.
      3.4 Guarding

      Guarding refers to the physical surveillance of a site to protect property and individuals. This service includes:

      • Deployment of Security Agents: Agents are assigned permanently or as per agreed schedules to monitor the site and intervene when necessary.
      • Protection of Property: Surveillance of sensitive areas (offices, warehouses, industrial facilities) against theft, vandalism, or other damages.
      • Personal Safety: Interventions to ensure the safety of employees, visitors, or other individuals present on-site, with the ability to respond swiftly in case of incidents.

      The guarding agents are trained to handle various emergency situations and follow appropriate procedures to ensure a secure environment.

      3.5 Access Control

      Access control aims to restrict site or zone access solely to authorized individuals. This service includes:

      • Identity Verification: Agents verify identities, badges, or entry authorizations of visitors and employees.
      • Physical Access Management: Use of electronic or manual systems to manage entries and exits (badges, keypads, biometric readers, etc.).
      • Regulated Access to Specific Zones: Certain sensitive areas may require enhanced controls with precise access management.

      This service ensures that only authorized individuals can access restricted zones or sensitive premises.

      3.6 Alarm Response

      Alarm response services address rapid reaction in case of alarm activation (fire, intrusion, panic, etc.). The intervention services include:

      • Alarm Trigger Response: When an alarm is activated, the team is immediately notified and conducts a real-time risk assessment.
      • On-Site Physical Intervention: Security agents are dispatched to the site promptly to assess the situation, secure the perimeter, and take necessary measures.
      • Coordination with Authorities: If required, the intervention team alerts law enforcement, firefighters, or other competent authorities to manage the situation.

      This service ensures efficient and effective management of risks associated with alarms.

      3.7 Event Security

      Event security ensures the safety of participants, staff, and property during events (concerts, conferences, sports events, etc.). This service includes:

      • Security Planning and Organization: Developing a security plan tailored to the specifics of the event (number of participants, venue type, potential risks).
      • Deployment of Security Measures: Assigning security agents to manage crowd flows, verify access, monitor sensitive areas, and handle emergencies.
      • Protection of Installations and Equipment: Monitoring event venues, equipment, stages, or other installations to prevent vandalism or incidents.
      • Crowd and Emergency Management: Agents are trained to handle crowd movements, disturbances, or incidents, ensuring the safety of all.

      Event security is tailored to the size and requirements of each event, providing comprehensive and appropriate coverage for every situation.

      Dates and Times of Assignments:

      Clients must communicate the dates and times of the services before finalizing the quotation. Any subsequent changes to dates, times, or service volume after signing the quotation must be notified in writing and may result in additional financial compensation if it requires additional resources, extended hours, or disrupts the company’s schedules.

      Resources Provided:

      IMAVOV Sécurité commits to providing all necessary resources for contract execution, including:

      • Trained and Qualified Agents: All agents assigned to the mission will have the required qualifications (APS, SSIAP, etc.), based on the nature of the services.
      • Security Equipment: The company will supply the necessary equipment for the service, such as communication devices, surveillance tools, patrol vehicles, etc., depending on the mission’s specifics.
      • Monitoring and Management: IMAVOV Sécurité ensures continuous monitoring of mission execution, guaranteeing the availability of a management team to respond to any client requests and address any issues during service delivery.

      Conditions for Service Execution:

      Services will be performed following quality standards and current legal requirements. Any service outside the agreed terms (e.g., extended hours, additional personnel or equipment, location changes) may result in price adjustments and must be mutually agreed upon beforehand.

      4. Financial Terms

      4.1. Payment Terms:

      Security services provided by IMAVOV Sécurité will be invoiced according to the rates indicated in the contract or quotation accepted by the client. Payments must be made using the following methods:

      • Bank Transfer: The client will make the payment directly to the bank account specified on the invoice.
      • Cheque: If accepted, payment by cheque must be made out to IMAVOV Sécurité and sent to the address indicated on the invoice.
      • Other Payment Methods: The client may also pay using other methods agreed upon by the parties and specified in the contract.

      Payment is due within 30 days from the invoice date for long-term contracts unless otherwise agreed. Bank fees or other costs associated with payment methods are the client’s responsibility.

      For one-time services and services provided to new clients, payment is due upon receipt of the invoice (administrative deadline: 5 days).

      4.2. Late Payment:

      In the event of late payment, penalties will automatically be applied without prior notice. The penalty rate will be three times the legal interest rate in effect on the invoice due date, in accordance with Article L441-6 of the Commercial Code. These penalties will be calculated from the due date of the invoice until full payment is made.

      Additionally, a flat-rate compensation of €40 for recovery costs, as stipulated by law, will be applied to each unpaid invoice.

      4.3. Suspension of Services:

      If an invoice remains unpaid 15 days after the due date, IMAVOV Sécurité reserves the right to suspend the execution of ongoing services after issuing a formal notice by registered letter with acknowledgment of receipt. Service suspension does not release the client from their payment obligations, which remain due by the deadline.

      4.4. Security Deposit:

      In certain cases, particularly for long-term or specific services, IMAVOV Sécurité may request a security deposit from the client, the amount of which will be specified in the contract or quotation. This deposit will be used to cover any potential breaches or unforeseen expenses. The deposit amount will be refunded within 30 days following the end of the services, provided payments are up to date and all equipment provided is returned in full.

      4.5. Additional Fees:

      Additional fees may be charged in the following cases:

      • Service Modifications: If additional requests are made by the client after the contract is signed, a supplemental quotation will be issued and must be accepted by the client before the services are executed.
      • Travel and Ancillary Expenses: Costs related to security agents’ travel (transportation, overnight stays, meals, etc.) will be charged to the client if these costs were not included in the initial quotation.
      • Delays or Cancellations of Services: If the client cancels or postpones planned services without providing at least 48 hours’ notice, cancellation or rescheduling fees, as defined in the contract, may be charged.
      4.6. Rate Revisions:

      IMAVOV Sécurité reserves the right to revise its rates, provided the client is notified in writing with 30 days’ notice. The new pricing terms will take effect upon the expiration of the notice period. In case of disagreement with the new pricing terms, the client may terminate the contract under the conditions specified in Article 6 of these GTCS.

      4.7. Invoicing Terms:

      Invoices will be issued at the end of each billing period as specified in the contract. They will detail the services performed, amounts due, and payment terms.

      Invoices must be reviewed by the client within 10 days of receipt. In the absence of objections within this period, the invoices will be considered accepted.

      4.8. Complaints:

      Any complaints regarding an invoice or billed services must be submitted to IMAVOV Sécurité within 15 days of the invoice date, in writing (email or registered letter). In the event of a dispute, the parties agree to attempt to resolve the matter amicably before initiating any legal proceedings.

      5. Commitments of the Parties

      5.1. Commitments of IMAVOV Sécurité:

      IMAVOV Sécurité undertakes to:

      • Provide Security Services: IMAVOV Sécurité commits to delivering security services in accordance with the terms of the contract and these General Terms and Conditions of Sale, while adhering to quality standards, legal obligations, and applicable security rules.
      • Competence and Qualification: IMAVOV Sécurité guarantees that all security agents assigned to the services have the required qualifications and are regularly trained to perform the tasks entrusted to them.
      • Confidentiality: IMAVOV Sécurité undertakes to maintain the confidentiality of information obtained during the provision of services and not to disclose it to any third party without the prior consent of the client, unless required by law or a competent authority.
      • Professional Liability Insurance: IMAVOV Sécurité commits to subscribing to and maintaining professional liability insurance covering all services provided and will make an insurance certificate available to the client upon request.
      • Emergency Response: IMAVOV Sécurité will implement a system to respond promptly in emergencies, adhering to the timelines and procedures defined in the contract.
      5.2. Commitments of the Client:

      The client undertakes to:

      • Provide Complete and Accurate Information: The client agrees to provide all information necessary for the proper execution of security services, including details about the sites to be secured, specific equipment, and any particular instructions.
      • Collaborate with IMAVOV Sécurité: The client commits to cooperating with IMAVOV Sécurité by facilitating access to the secured sites, ensuring that installations are functional, and providing all resources necessary for the successful execution of the missions.
      • Pay for Services: The client agrees to pay the amounts due to IMAVOV Sécurité in accordance with the payment terms defined in the contract, within the specified deadlines.
      • Respect Security Instructions: The client commits to respecting all security instructions provided by IMAVOV Sécurité and ensuring that their employees and/or any individuals present on the site comply with the measures implemented by the security agents.
      • Notify Incidents or Risks: The client agrees to inform IMAVOV Sécurité of any event that could affect the site’s security or the proper execution of services (schedule changes, security incidents, etc.).
      • Return Property and Equipment: The client undertakes to return, at the end of the services or in the event of contract termination, all property, documents, and equipment provided by IMAVOV Sécurité, within the timelines and conditions defined in these GTCS.
      5.3. Mutual Commitments:

      The parties mutually agree to:

      • Fulfill Contractual Obligations: Each party commits to respecting the terms of the contract and the obligations defined in these General Terms and Conditions of Sale, in a spirit of good faith and collaboration.
      • Inform of Significant Changes: Each party agrees to inform the other, as soon as possible, of any event or circumstance likely to impact the proper execution of the contract (changes in legislation, force majeure events, modifications in requirements, etc.).
      • Resolve Disputes Amicably: In the event of a dispute or disagreement regarding the interpretation or execution of the contract, the parties agree to attempt to resolve their conflict amicably before initiating any legal action.

      6. Duration and Termination

      6.1. Contract Duration:

      The contract between the Client and IMAVOV Sécurité takes effect from the date of signing or acceptance of the commercial proposal, for a specified or indefinite period as stated in the contract. In the absence of specific mention, the contract is deemed to be concluded for an initial duration of one year, tacitly renewable for successive one-year periods unless terminated by either party under the conditions outlined in Articles 6.2 and 6.3 below.

      6.2. Termination by the Client:

      The Client may terminate the contract at any time, provided they give a 30-day notice before the termination date. Termination must be notified in writing (email, registered letter with acknowledgment of receipt, or any other means providing proof of receipt) to IMAVOV Sécurité. In case of termination before the end of the contractual period, the Client remains liable for amounts due for the elapsed period and agrees to pay for all services rendered up to the termination date.

      6.3. Termination by IMAVOV Sécurité:

      IMAVOV Sécurité reserves the right to terminate the contract in the event of serious or repeated breaches by the Client of their contractual obligations, particularly in the case of non-payment of amounts due within the stipulated deadlines or if the Client compromises the security or proper execution of services. Termination by IMAVOV Sécurité will be notified in writing (email, registered letter with acknowledgment of receipt, or any other means providing proof of receipt), with a 30-day notice. In case of termination due to the Client’s breach, the Client remains liable for amounts due for services performed up to the termination date.

      6.4. Termination for Force Majeure:

      In the event of a force majeure situation, as defined in Article 10.2 of these GTCS, the parties’ obligations will be suspended for the duration of the event. If the event persists for more than 30 days, either party may terminate the contract by right, without indemnity, through written notification to the other party.

      6.5. Effects of Termination:

      Upon termination of the contract, regardless of the reason, the Client agrees to:

      • Pay all amounts due for services provided up to the termination date.
      • Return all equipment, documents, or other items belonging to IMAVOV Sécurité within 15 days.

      IMAVOV Sécurité commits to ceasing all services on the termination date, subject to the Client’s fulfillment of payment obligations. Termination of the contract, regardless of the cause, does not cancel payment obligations already due or any other indemnities that may be claimed under these GTCS.

      6.6. Right of Withdrawal:

      In accordance with Article L221-18 of the Consumer Code, if the contract was concluded remotely or off-premises, the Client has a period of 14 days from the contract signing date to exercise their right of withdrawal without providing a reason or incurring a penalty. To do so, the Client must notify their decision to withdraw in writing (email or registered letter with acknowledgment of receipt).

      6.7. Tacit Renewal:

      If the contract is not terminated under the conditions mentioned above, it will be tacitly renewed for successive periods of 12 months. The Client may terminate this tacit renewal at any time by providing a 30-day notice before the renewal date.

      7. Responsibilities

      7.1. Responsibility of IMAVOV Sécurité:

      IMAVOV Sécurité commits to providing the security services defined in the contract, in compliance with industry standards and current legal requirements. IMAVOV Sécurité undertakes to deploy all necessary means to perform the security services but is bound only by a best-effort obligation, not a result guarantee. The responsibility of IMAVOV Sécurité is limited to the obligations explicitly defined in the contract and these General Terms and Conditions of Sale. Under no circumstances will IMAVOV Sécurité be held liable for:

      • Non-performance or poor performance of services due to a client’s failure (e.g., failure to provide necessary information, failure to comply with instructions).
      • Force majeure events, as defined in Article 10.2 of these GTCS, or events beyond its control (e.g., strikes, natural disasters, acts of terrorism).
      • Negligence or gross misconduct by the client or a third party.
      • Damages caused by third parties, including intrusions, thefts, or malicious acts, despite deployed security measures.
      • Indirect damages, such as loss of business, data, reputation, or financial losses incurred by the client.

      IMAVOV Sécurité’s liability for direct damages suffered by the client will, in any case, be limited to the amount paid by the client for the services concerned, up to a maximum of three times the value of those services. Under no circumstances will IMAVOV Sécurité be liable for indirect or intangible damages, such as loss of profits, loss of clientele, or other damages resulting from partial or total non-performance of the contract.

      7.2. Responsibility of the Client:

      The client agrees to provide IMAVOV Sécurité with all necessary information for the proper execution of security services and to comply with established security instructions. The client is solely responsible for:

      • The accuracy and completeness of the information provided to IMAVOV Sécurité.
      • The proper use of security systems provided by IMAVOV Sécurité.
      • The maintenance and upkeep of installations under their responsibility (e.g., alarm systems, video surveillance), unless these tasks are specifically included as part of IMAVOV Sécurité’s services under the contract.

      If the client’s negligence causes damage to IMAVOV Sécurité or a third party, the client may be held liable. The client is also required to compensate for any direct or indirect damage caused to IMAVOV Sécurité or its employees during the execution of services.

      7.3. Subcontracting:

      IMAVOV Sécurité reserves the right to subcontract all or part of the security services defined in the contract to qualified subcontractors. In such cases, IMAVOV Sécurité remains responsible for the proper execution of all services and ensures that subcontractors comply with the same confidentiality and security obligations.

      7.4. Non-Compliance with Obligations:

      In the event of non-compliance by IMAVOV Sécurité with its contractual obligations, unless otherwise specified in the contract, IMAVOV Sécurité’s liability will be limited to direct damages only, excluding any indirect damages, and up to the amount paid by the client for the relevant services. No compensation will be claimed for temporary service interruptions unless due to gross negligence by IMAVOV Sécurité.

      7.5. Security Systems:

      Security systems provided or installed by IMAVOV Sécurité, such as alarm systems or video surveillance, must be used in accordance with IMAVOV Sécurité’s instructions. IMAVOV Sécurité cannot be held liable for failures or misuse of these systems by the client or third parties. Furthermore, IMAVOV Sécurité does not guarantee the absolute effectiveness of security systems, particularly in cases of intrusion or incidents, although it takes all reasonable measures to ensure their proper functioning.

      7.6. Compliance with Regulations:

      The client is responsible for ensuring that installations and security systems comply with local and national regulations. IMAVOV Sécurité cannot be held liable for any violations of laws or regulations related to the security systems used as part of the service.

      7.7. Insurance Obligations:

      IMAVOV Sécurité commits to subscribing to professional liability insurance covering all its security services throughout the contract duration. This insurance is intended to cover bodily injury, material damage, and immaterial damage caused to third parties during the execution of services provided by IMAVOV Sécurité. The insurance coverage is sufficient to respond to any claims related to faults, negligence, or omissions occurring within the scope of security services. IMAVOV Sécurité will provide the client with an insurance certificate upon request.

      The client agrees to subscribe to insurance covering specific risks related to their activity and security services, as IMAVOV Sécurité’s liability cannot exceed the terms defined in these GTCS.

      8. Complaints and Disputes

      8.1. Complaints:

      As a private security company, IMAVOV Sécurité strives to ensure the quality and reliability of its services. However, if a client is dissatisfied with the provided service, they are encouraged to submit a complaint following this procedure:

      • Complaint Submission: Any complaint regarding the provided services must be submitted in writing to IMAVOV Sécurité’s customer service within a maximum of 30 days from the date of the concerned service.

      • Complaint Content: The complaint must specify the facts in detail, including the date and time of events, the agent(s) involved, and specific elements of the service that prompted the complaint.
      8.2. Complaint Handling:
      • Acknowledgment of Receipt: An acknowledgment of receipt will be sent to the Client within 10 business days of receiving the complaint.
      • Investigation and Analysis: IMAVOV Sécurité will conduct an investigation to analyze the circumstances of the complaint. This analysis may include internal checks, interviews with the involved agents, and reviewing all available evidence (e.g., reports, video recordings).
      • Resolution: A detailed response will be provided to the Client within 15 days of receiving the complaint. Depending on the investigation results, corrective or compensatory measures may be proposed, such as billing adjustments, partial refunds, or other appropriate solutions.
      8.3. Disputes:
      • Amicable Resolution: In case of persistent dissatisfaction after the response to the complaint, IMAVOV Sécurité commits to seeking an amicable solution in consultation with the client.
      • Mediation Procedure: If an amicable solution fails, the client may opt for a certified mediator to attempt resolving the dispute amicably. Mediator contact details can be provided upon request.
      • Competent Courts: If amicable resolution or mediation does not resolve the dispute, any dispute relating to the interpretation, execution, or validity of these General Terms and Conditions of Sale will fall under the jurisdiction of the courts at the registered office of IMAVOV Sécurité, unless otherwise required by law.
      8.4. Mandatory Pre-litigation Procedure:

      The client acknowledges that the above-described complaint and dispute resolution procedure is a mandatory prerequisite before initiating any legal action. Consequently, no legal action can be taken by the client unless this procedure has been followed, except in urgent situations.

      8.5. Data Confidentiality:

      All information related to complaints and disputes will be treated confidentially and in compliance with applicable personal data protection regulations.

      9. Confidentiality and Data Protection

      IMAVOV Sécurité places great importance on the confidentiality and protection of the personal data of its clients, partners, and employees. We are committed to complying with applicable legal and regulatory provisions, including the EU General Data Protection Regulation (GDPR) and the French “Informatique et Libertés” law.

      9.1. Collection and Processing of Personal Data:

      As part of our private security activities, we collect and process certain personal data necessary for the proper execution of our services. This data may include, but is not limited to:

      • Identification Information: Name, first name, address, email, phone number, etc.
      • Service-Related Data: Contracts, reports, interventions, schedules, etc.
      • Security Data: Video or audio recordings made as part of surveillance or guarding missions, if applicable.

      We commit to collecting only the data strictly necessary for the execution of the services agreed upon in the contract and ensuring their processing under secure conditions.

      9.2. Purposes of Data Processing:

      The personal data we collect are processed for the following purposes:

      • Management and Execution of Security Services: Surveillance, intervention, guarding, etc.
      • Management of Contractual Relationships: Contracts, billing, client follow-ups, etc.
      • Handling Complaints, Disputes, and Assistance Requests.
      • Compliance with Legal and Regulatory Obligations in terms of security, compliance, and activity reporting.
      • Commercial Relationship Management and Prospecting, provided the client has given prior consent.
      9.3. Data Retention Period:

      10.1. Amendments to the General Terms and Conditions of Sale (GTCS):

      IMAVOV Sécurité reserves the right to modify these General Terms and Conditions of Sale at any time. Clients will be notified of any changes through appropriate means (email, letter, website, etc.), and the changes will take effect upon publication. In case of disagreement with the new conditions, the client may terminate the contractual relationship as outlined in Article 6 of these GTCS.

      10.2. Force Majeure:

      IMAVOV Sécurité cannot be held liable for non-performance or delays in the performance of its obligations if such delays or failures are caused by a force majeure event, as defined by applicable jurisprudence. In the event of force majeure, the obligations of the parties will be suspended for the duration of the event. The client will be informed as soon as possible about the occurrence of such an event.

      10.3. Assignment of the Contract:

      The client may not assign or transfer any or all rights and obligations arising from the contract without prior written consent from IMAVOV Sécurité. However, IMAVOV Sécurité reserves the right to assign or transfer all or part of its rights and obligations to a third party, particularly in the context of subcontracting certain services, subject to compliance with confidentiality obligations.

      10.4. Severability:

      If one or more provisions of these General Terms and Conditions of Sale are declared null or unenforceable by a court decision, the other provisions will remain valid and enforceable. The parties agree to renegotiate in good faith the invalid or unenforceable provision to replace it with a new provision consistent with the original intent.

      10.5. Non-Waiver:

      Failure by either party to invoke one of the provisions of these GTCS or to demand the performance of an obligation shall not be interpreted as a waiver of their rights or to require future performance.

      10.6. Applicable Law and Jurisdiction:

      These General Terms and Conditions of Sale are governed by French law. In the event of a dispute concerning the interpretation, execution, or validity of these GTCS, the parties will strive to resolve their conflict amicably. If no amicable solution is found, the competent court will be the one located in the jurisdiction of IMAVOV Sécurité’s registered office, unless otherwise required by mandatory legal provisions.

      10.7. Entire Agreement:

      These General Terms and Conditions of Sale, along with the contract signed between the parties, constitute the entire agreement between the Client and IMAVOV Sécurité. They cancel and replace any prior agreements or negotiations, whether written or oral, relating to the subject of the contract.

      10.8. Confidentiality:

      The parties agree to maintain the confidentiality of all information exchanged as part of the execution of the contract. This confidentiality obligation will remain in effect throughout the duration of the contractual relationship and beyond, as long as the concerned information has not been made public or unless legal requirements justify its disclosure.

      10.9. Contract Language:

      These GTCS are drafted in French. In the event of a translation into another language, the French version shall prevail in case of contradiction or ambiguity.
